Corporate practice is rightfully recognized as one of the most important ABY activities. We provide legal assistance on incorporation, restructuring and liquidation of companies. Our business portfolio always contains issues on company establishment (including joint ventures, companies with 100% foreign capital and foreign firms’ affiliates). This includes all stages of company establishment from preparation of foundation documents to “turnkey” incorporation, as well as subsequent legal assistance of established enterprises. Standing for comprehensive approach, we involve not only lawyers but also auditors, so as to create the most favourable system of relationships between investment project participants in
both legal and tax perspectives.
We regularly advise companies facing management crisis such as conflicts between shareholders or directors/the board of directors, at the same time involving public prosecutors, bailiffs, controlling bodies, lenders, auditors, insurers and the mass
media. All our efforts are concentrated on the fulfillment of our Clients’ expectations.

The products of ABY corporate practice can be divided into four main groups:


• development organizational and legal structure of the company as a subject investment project, assistance in negotiations with the founders, including those at the international level;
• development of constituent documents, including bilingual ones, as well as state registration of companies and their separate subdivisions by “turnkey” method (guidance at shareholders general meetings, assistance with renting/buying, opening a bank account, maintenance of accounting records, registration with the appropriate
agencies, drafting the primary human resources documentation etc.);
• accreditation of affiliates or representative offices of foreign companies;
• legal monitoring of the primary shares offering;
• advising on the optimal tax structure for incorporation of the company;
• obtainment of licenses and permits necessary for operation of the company.
